These Terms and Conditions ("Terms") govern your purchase and use of the software product Agentic Embedded Debugger ("Software"), provided by Droidtech 42 AI Labs AB ("Droidtech", "we", "us", "our").
By purchasing, downloading, installing or using the Software, you agree to be bound by these Terms. If you do not agree, do not purchase or use the Software.

The Software is intended primarily for professional and internal business use (including use by individual developers acting in a professional capacity). By purchasing the Software, you represent that you are acting for business or professional purposes.
Subject to your full payment of applicable fees and continued compliance with these Terms, we grant you a non-exclusive, non-transferable, non-sublicensable, revocable license to install and use the Software for your internal business purposes.
Unless otherwise stated in the purchase process or in documentation accompanying the Software:
The Software is licensed, not sold. All intellectual property rights in and to the Software, including all modifications, updates and derivative works, are and remain the exclusive property of Droidtech 42 AI Labs AB and its licensors.
Nothing in these Terms transfers any ownership rights in the Software to you. You obtain only the limited license described in Section 2.
You agree that you shall not, and shall not permit any third party to:
The Software and license key are delivered electronically. After successful payment via Stripe or another designated payment provider, a license is generated on our servers and sent to the email address you provided, using Resend or similar email infrastructure.

We may implement technical measures to validate license keys, limit activations, or prevent obvious misuse or piracy. These measures will be designed to protect our rights while minimizing impact on legitimate users.
Prices are displayed on our website or in the order form. All payments are processed through Stripe or another designated payment provider.
Prices may be shown exclusive of VAT and other taxes; applicable taxes may be added based on your billing location and applicable law.
You are responsible for any bank charges, card fees, or currency conversion fees that may apply.
We reserve the right to update our prices from time to time. Any price changes will not affect licenses already purchased, but may affect future purchases or renewals.
Because the Software is a digital product and license keys can be activated and used immediately, all sales are generally final once the license has been delivered to you, except where mandatory law requires otherwise.

If, contrary to Section 2.1, you purchase the Software as a consumer within the EU/EEA, you may have a statutory right of withdrawal for 14 days for certain online purchases. However, for digital content that is not supplied on a physical medium, this right can be lost once:
Where applicable, we may ask you to provide such consent during the purchase process. In such cases, and once delivery has begun, your statutory right of withdrawal no longer applies. If you do not provide such consent, we may delay delivery until the 14-day withdrawal period has expired.

We may provide updates, bug fixes or new versions of the Software from time to time.
We reserve the right to modify, improve or discontinue specific features, provided this does not substantially deprive you of the core functionality that was available at the time of purchase, except where changes are required for security, legal or interoperability reasons.
You are responsible for installing updates that we make available to address security issues or critical defects.
The Software is designed to interact with or be used together with certain third-party tools and services, such as AI coding agents, debuggers or cloud platforms.
To the maximum extent permitted by law, the Software is provided "as is" and "as available" without any warranties, express or implied. In particular, we do not warrant that:
Any experimental, preview or beta features are provided without any warranties and may be changed or removed at any time.
You are responsible for evaluating the suitability of the Software for your use case, including any safety, regulatory or reliability requirements.
To the maximum extent permitted by applicable law:
Droidtech 42 AI Labs AB shall not be liable for any indirect, incidental, consequential, special or punitive damages, or for any loss of profits, revenue, data, goodwill or business opportunities arising out of or relating to the use of or inability to use the Software, even if we have been advised of the possibility of such damages.
Our total aggregate liability under or in connection with these Terms and your use of the Software shall be limited to the amount you paid for the license to the specific Software edition giving rise to the claim.
Nothing in these Terms excludes or limits liability that cannot be excluded or limited under mandatory law (such as liability for intentional misconduct, gross negligence or personal injury caused by our negligence).
Your license is valid according to the terms specified at purchase (for example perpetual, subscription-based, or time-limited).
We may suspend or terminate your license with immediate effect if:
Upon termination, you must cease all use of the Software and delete all copies in your possession. We may deactivate or blacklist the affected license key.
We shall not be liable for any damages or losses arising from a lawful suspension, deactivation or termination carried out in accordance with this Section 12.
Our processing of personal data in connection with your purchase and use of the Software (for example, billing details, contact information and telemetry if enabled) is described in our Privacy Policy, available on our website.
The Software itself is designed so that we do not need to access or store your internal AI content or data processed by the tools you connect to the Software, unless you explicitly enable telemetry or support features that send such data to us. Where telemetry or analytics features exist, they will be documented and can be configured or disabled where reasonably possible.
These Terms are governed by and construed in accordance with the laws of Sweden, without regard to its conflict of law principles.
Disputes shall primarily be resolved amicably between you and Droidtech. If no settlement can be reached, disputes shall be brought before the competent courts of Sweden, with the Stockholm District Court as first instance, unless mandatory law grants you the right to bring the dispute before another court.
We may update these Terms from time to time, for example to reflect changes in law, our business model, or the Software.
The latest version will always be available on our website at https://www.droidtech.ai/terms.html.
Where changes are material and affect existing license holders, we will use reasonable efforts to notify you (for example by email or by notice on our website).
Continued use of the Software after changes to the Terms take effect constitutes your acceptance of the updated Terms.
If you do not agree with updated Terms, your remedy is to cease using the Software and, where applicable, notify us that you object to the changes.
